'Firm' or 'Naveen Agencies' means the pharmaceutical wholesale and distribution business operating from Meerut, Uttar Pradesh. 'Counterparty', 'you' or 'your' means any retailer, chemist, hospital, pharmacy, principal or other person engaging with the firm. 'Goods' means pharmaceutical products supplied by the firm.
Goods are supplied on a business-to-business basis only. Trade accounts and orders are open to entities holding a valid drug licence and other applicable statutory registrations. By placing an order, the counterparty confirms that such registrations are current and that the person placing it is authorised to do so.
An order placed by phone, WhatsApp, email or other accepted channel is an offer to purchase. The firm's acceptance occurs on confirmation or dispatch of the order; until then, the firm may decline or partially fulfil an order, including where stock or licence verification is not satisfied.
Prices are those confirmed at the time of order acceptance and are exclusive of taxes unless stated otherwise. Applicable GST is charged on every invoice. Prices are subject to change for future orders without prior notice, in line with principal-company pricing and market conditions.
Payment is due on the terms communicated at order acceptance — advance, on delivery, or on agreed credit. Amounts outstanding beyond agreed terms may lead to suspension of further supply and recovery action, and may attract interest where notified.
The firm aims for timely delivery but delivery timelines are estimates, not guarantees. Risk in the Goods passes on delivery to the counterparty or its nominated carrier; title passes only on receipt of full payment. The counterparty should inspect Goods on delivery and record any shortage or visible damage on the delivery document.
The counterparty undertakes to store, handle, dispense and resell the Goods in compliance with the Drugs and Cosmetics Act and applicable rules, to preserve cold-chain conditions where required, and not to tamper with packaging, labelling or batch information.
Naveen Agencies sources Goods from the pharmaceutical companies it is authorised to represent and supplies them in their original manufacturer packaging. Product specifications, indications and warranties are those of the respective manufacturer; the firm acts as a distributor and stockist.
To the extent permitted by law, the firm's liability in connection with any order shall not exceed the invoice value of that order. The firm shall not be liable for indirect or consequential loss, or for matters attributable to the manufacturer, the counterparty's handling, or events beyond reasonable control.
These terms are governed by the laws of India. The courts at Meerut, Uttar Pradesh have exclusive jurisdiction over any dispute, claim or proceeding arising out of or in connection with these terms or any transaction governed by them.
Pharmaceutical returns are tightly regulated for patient-safety reasons. The terms below set out the limited circumstances in which Naveen Agencies accepts returns from the trade and how credits are handled.
As a pharmaceutical distributor, Naveen Agencies does not accept returns of correctly supplied Goods on grounds of changed buying preference or over-ordering. Returns are limited to the specific situations described below and are always subject to verification.
Returns may be considered where: (a) Goods were supplied in error against the confirmed order; (b) Goods were damaged in transit and the damage was recorded on the delivery document; (c) Goods were received with a manufacturing defect; or (d) a product recall has been initiated by the manufacturer or a competent authority.
Discrepancies and transit damage under heads (a) and (b) must be reported to the trade desk within three (3) working days of receipt, with supporting photographs and the original delivery document. Suspected manufacturing defects under head (c) should be reported promptly on discovery. Recalls under head (d) follow the timelines stated in the recall notice.
Goods presented for return must be in their original manufacturer packaging, with intact batch and expiry details, not tampered with, decanted or relabelled, and accompanied by the relevant invoice reference. A return is accepted only after the firm issues a return authorisation.
Any near-expiry or expiry return is handled strictly in accordance with the policy of the relevant manufacturer/principal and applicable regulation. The firm will guide trade partners on the principal's expiry-return window and procedure where such a facility exists.
Where a return is approved, the value is generally adjusted as a credit against the counterparty's account or future invoices. Any GST adjustment is processed through a credit note compliant with applicable tax rules. Timelines for principal-linked returns depend on the manufacturer's processing.
Any dispute regarding a return or credit should be raised in writing with the trade desk. Unresolved disputes are subject to the exclusive jurisdiction of the courts at Meerut, Uttar Pradesh, and governed by Indian law.

Confirmed trade orders are picked, checked and prepared for dispatch as promptly as stock and verification allow. Processing time depends on product availability, order size and successful drug-licence confirmation for new accounts.
Dispatch is arranged through the firm's own delivery arrangements or trusted transport partners selected for pharmaceutical handling. The firm aims for dependable, timely delivery, though delivery timelines are good-faith estimates rather than guarantees.
Goods are handled to protect product integrity. Where particular products require temperature-controlled handling, reasonable care is taken in line with the manufacturer's storage requirements; the counterparty should inspect such Goods promptly on receipt.
On delivery, the counterparty's representative should verify parcel count and check for visible damage, and record any discrepancy on the delivery document before acknowledging receipt. Acceptance without notation is treated as confirmation of correct delivery for the purposes of the Returns & Refunds policy.
Any delivery or freight charges, where applicable, are advised at the time of order acceptance and itemised on the tax invoice. Minimum-order conditions, if any, are communicated through the trade desk.
Where a delivery cannot be completed because the consignee is unavailable, refuses receipt, or the address is unserviceable, the Goods are returned to the firm and re-delivery may attract additional charges. Perishable or short-dated Goods are handled in accordance with regulation.
